Shareholder Disputes and Corporate Litigation

Baddley & Mauro has extensive experience representing shareholder clients in litigation involving public and closely held corporations and corporate officers, directors and shareholders. This includes litigation involving management and corporate control issues, mergers, shareholder appraisal rights, contract disputes, employment agreements, and insurance coverage disputes. We also represent partnerships, partners and sole proprietors in similar types of litigation.

Securities Litigation

Our firm represents clients in litigation brought under state and federal securities laws. In the retail brokerage area, our firm has represented public customers and registered representatives in litigation and arbitration in all aspects of securities laws, including broker-customer cases, and employment claims.

Our firm specializes in representing victims of stockbroker fraud, and the unethical and improper investing of their retirement and other investment accounts. Many cases have involved claims where a stockbroker has improperly invested in stocks and securities which were unauthorized by the client or where stocks were purchased and maintained on behalf of a client at a risk level which exceeded the risk tolerance allowed by the investment objectives set forth by the client in the brokerage agreement.

Franchise Litigation

Baddley & Mauro represents franchisees in disputes arising out of their business relationships, including claims for breach of the franchise agreement and fraud, as well as actions for the unlawful termination of the franchise relationship. Our firm specializes in automobile franchise litigation, where we have successfully represented automobile dealers in claims against the manufacturer regarding the allocation of new vehicle product and other issues under state and federal automobile dealer franchise laws.

Consumer Litigation

Our firm handles cases for clients against businesses for violations of various consumer protection laws, including claims under the RICO and deceptive trade practices statutes. Our firm also specializes in claims by consumers against financial institutions, including claims for lender liability based upon the improper handling of a loan, mortgage or money market accounts.

Baddley & Mauro has handled such consumer claims on an individual basis, as well as on a mass or class action basis when the fraudulent or abusive business practice similarly affect many customers.

Insurance Litigation

Baddley & Mauro has extensive experience in dealing with insurance coverage and related insurance issues. Our firm has handled claims representing clients with respect to their fire, property and other casualty insurance claims, as well as on life, disability and accidental death insurance claims

Disputes arise frequently regarding whether a particular event, loss or circumstance triggers insurance coverage or duties under insurance policies. Insurance companies do not always treat their customers fairly, and sometimes engage in policy sales and claims handling practices that are prohibited by law. Such practices may include a failure to properly investigate a claim as to liability and damages; failure to fairly and reasonably evaluate facts of liability; failure to offer settlement within a reasonable time after investigation; misrepresentation of the policy; non-disclosure of information; unwarranted disputes concerning value of loss; and creating excuses to delay payment of policy benefits.
